1. Introduction
Welcome to Newcastle Hub. By accessing or using our services, you agree to be bound by these Terms and Conditions, which are effective as of April 2026. Please read them carefully before engaging with us.
Newcastle Hub provides digital services to businesses in Newcastle, East Maitland, and the surrounding NSW region. If you do not agree with any part of these terms, please do not proceed with our services.
2. Scope of Services
Newcastle Hub offers the following services:
- Web Design & Development — custom website design, development, and ongoing maintenance
- Digital Marketing & SEO — search engine optimisation, content strategy, and digital marketing campaigns
- POS System Setup — point-of-sale system procurement, configuration, and training
- Web Hosting Plans — Starter+, Freedom+, and Premier+ managed hosting plans
- AI Implementation — artificial intelligence tools and workflow automation for business operations
The specific scope of each engagement will be agreed in writing prior to commencement of work.
3. Engagement & Payment Terms
3.1 Deposit
A non-refundable deposit of 50% of the total project fee is required before any work commences. This deposit secures your project in our schedule and covers initial planning, research, and resource allocation.
3.2 Final Payment
The remaining balance is due upon project completion and delivery. Newcastle Hub will issue a final invoice at the point of delivery or handover.
3.3 Invoice Terms
All invoices are due within 14 days of the invoice date unless otherwise agreed in writing. Accepted payment methods will be specified on each invoice.
3.4 Late Payments
Invoices not settled within 14 days may result in the suspension of services, including but not limited to hosting, email, and ongoing support. Newcastle Hub reserves the right to apply a late payment fee and to withhold deliverables until outstanding balances are cleared.
4. Intellectual Property
4.1 Transfer of Ownership
Upon receipt of full and final payment, all intellectual property rights in the final designs, code, and deliverables created specifically for the client will be transferred to the client. No transfer of rights occurs until the full project cost has been paid.
4.2 Portfolio Rights
Newcastle Hub retains the right to display completed work in its portfolio, case studies, and marketing materials unless the client requests otherwise in writing prior to project completion. Such requests will be honoured at Newcastle Hub’s discretion.
4.3 Third-Party Assets
Licences for any third-party fonts, stock images, plugins, or software used in a project remain subject to the terms of their respective licence holders. The client is responsible for maintaining any ongoing third-party licence fees unless expressly included in a hosting or maintenance plan.
5. Project Changes & Variations
The original project scope is agreed at the time of engagement. Any changes, additions, or revisions to the agreed scope after project commencement are considered variations and must be approved in writing by both parties before work begins.
Variations may incur additional fees. Newcastle Hub will provide a written estimate for any variation work. Approval of that estimate constitutes authorisation to proceed and an agreement to pay the additional fee.
6. Web Hosting Terms
6.1 Plans & Billing
Web hosting services are available on monthly or annual billing cycles. Plan details, pricing, and inclusions are outlined on the Newcastle Hub website and in the hosting agreement provided at sign-up.
6.2 Cancellation
Clients wishing to cancel their hosting plan must provide a minimum of 30 days written notice. No refunds are issued for the remaining period of a prepaid plan upon cancellation.
6.3 Data Backup
While Newcastle Hub may perform periodic server-level backups as part of certain plans, the client is ultimately responsible for maintaining independent backups of their own website content, databases, and files. Newcastle Hub accepts no liability for data loss resulting from hardware failure, software error, or any other cause.
6.4 Suspension for Non-Payment
Newcastle Hub reserves the right to suspend hosting services for any account with an overdue balance. Services will be reinstated upon full payment of the outstanding amount. Newcastle Hub accepts no responsibility for losses incurred during a suspension period arising from non-payment.
7. Refund Policy
7.1 Deposit
The initial 50% deposit is non-refundable once work has commenced. This includes, but is not limited to, discovery sessions, wireframing, design concepts, and any development work initiated.
7.2 Disputes
If you are dissatisfied with any deliverable, you must raise a dispute in writing to [email protected] within 7 days of the date of delivery. Disputes raised after this period may not be considered. Newcastle Hub is committed to resolving all genuine concerns in good faith.
8. Disclaimer — SEO & Marketing Outcomes
Newcastle Hub does not guarantee specific search engine rankings, traffic volumes, or marketing outcomes. Digital marketing and SEO results are influenced by a wide range of factors outside Newcastle Hub’s control, including search engine algorithm changes, competitor activity, market conditions, and the quality of the client’s existing digital assets.
Newcastle Hub will apply professional skill and best-practice methodology to every campaign, but past performance is not indicative of future results.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Newcastle Hub’s total liability to the client for any claim arising out of or in connection with the provision of services — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total value of fees paid by the client for the specific service or project giving rise to the claim.
Newcastle Hub is not liable for any indirect, incidental, special, consequential, or punitive losses, including loss of profit, loss of data, loss of business, or loss of reputation, arising from the use of or inability to use our services.
10. Governing Law
These Terms and Conditions are governed by the laws of New South Wales, Australia. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
